Terms of Service

These Terms of Service ("Terms") govern your use of the LotDeck mobile application and website (the "Service"), operated by Wyser Baron LLC ("we", "our", "us"). By using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By downloading, installing, or using LotDeck, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the app.

2. Description of Service

LotDeck is an auction management software platform for auction professionals. Features include AI-powered lot cataloging, sale management, live auction clerking, buyer invoicing, consignor settlement reports, accounting exports, and related tools.

The app is provided as a tool to assist your auction operations. You are responsible for verifying the accuracy of all data, descriptions, and calculations generated by the Service, including AI-generated content.

3. Account Registration

• You must create an account to use the app.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate and complete information when creating your account.

4. Subscription and Payment

• LotDeck offers a 30-day free trial. After the trial period, a paid subscription is required to continue using the Service.
• Subscription plans are billed monthly or annually, depending on the plan selected.
• Payments made through the Apple App Store or Google Play Store are subject to the respective platform's terms and refund policies.
• Web subscriptions are processed through Stripe and are subject to Stripe's terms of service.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

5. Acceptable Use

• You may use the app only for lawful purposes related to auction management.
• You may not use the app to store or transmit illegal, harmful, or offensive content.
• You may not attempt to reverse engineer, modify, or interfere with the app's functionality.
• You may not use automated systems to access the app in a manner that exceeds reasonable use.

6. AI-Generated Content

• The app uses artificial intelligence to generate lot descriptions and analyze photos.
• AI-generated descriptions are suggestions only. You are responsible for reviewing, editing, and approving all catalog descriptions before use.
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.
• You acknowledge that AI-generated valuations are estimates only and should not be relied upon as professional appraisals.

7. Data Ownership

You retain ownership of all auction data, lot descriptions, images, and other content you create or upload to LotDeck. We do not claim any intellectual property rights over your content.

You grant us a limited license to store, process, and transmit your data solely for the purpose of providing the Service.

8. Data Export

You may export your data at any time using the export features built into the app (CSV, PDF, and accounting format exports). Your data is yours and you are never locked in.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The app includes offline functionality that allows continued use during temporary connectivity interruptions.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with reasonable notice.

10. Limitation of Liability

To the maximum extent permitted by law, Wyser Baron LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service.

Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Wyser Baron LLC from any claims, damages, losses, or expenses arising out of your use of the Service or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
